Welcome to Brickell Wallstreet OTC Desk™. These Terms of Use (“Terms”) govern your access to and use of our platform, services, and related content. By accessing or using the platform, you agree to be bound by these Terms.
1. Eligibility
The OTC Desk is intended for institutional investors, accredited investors, deal sponsors, lenders, brokers, and advisors. You must be at least 18 years old and have the legal authority to enter into transactions. We reserve the right to verify your identity and qualifications before granting access to certain features.
2. Platform Nature
Brickell Wallstreet OTC Desk provides a technology and relationship platform to facilitate introductions, information sharing, and transaction coordination between counterparties. We are not a broker-dealer, investment adviser, or lender, and we do not guarantee the completion of any transaction.
3. User Conduct
Users agree to provide accurate information, maintain confidentiality of data-room materials, comply with applicable securities laws, and not use the platform for unlawful, fraudulent, or misleading activities. Violation of these rules may result in suspension or termination of access.
4. Confidentiality & Data Rooms
Materials shared through secure data rooms are confidential and intended solely for the permitted recipient. Users may not reproduce, distribute, or disclose such materials without express authorization from the sponsoring party.
5. Limitation of Liability
To the fullest extent permitted by law, Brickell Wallstreet Capital and its affiliates shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform or any transaction contemplated thereon.
6. Modifications
We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the revised Terms.
